Firm Capital Mortgage Investment Corporation ("the Corporation") (TSX:FC) is pleased to announce that it has entered into an agreement to sell, on a bought deal basis, to a syndicate of underwriters led by TD Securities Inc. a combination of 1,200,000 common shares (the "Shares") at a price of $13.45 per Share for gross proceeds of $16,140,000 and $16,000,000 aggregate principal amount of 5.25% convertible unsecured subordinated debentures due March 31, 2019 (the "Debentures") at a price of $1,000 per Debenture, for aggregate gross proceeds of $32,140,000.
Both offerings (collectively, the "Offering") are scheduled to close on or about March 21, 2012, and are subject to regulatory approval.
The Corporation has granted the underwriters an over-allotment option to purchase up to a total of 180,000 additional Shares and $2,400,000 additional aggregate principal amount of Debentures, exercisable, in whole or in part, at any one time until 30 days following the closing of the Offering. The underwriters have the option to exercise the over-allotment option, if at all, for Shares, Debentures or any combination of Shares and Debentures. If the over-allotment option is exercised in full, the gross proceeds of the Offering will total $36,961,000.
Each Debenture is convertible into Shares at the option of the holder at a conversion price of $14.80 per Share (or 67.5676 Shares per $1,000 principal amount of Debentures).
The net proceeds of the Offering will be used to repay indebtedness and for general corporate purposes.
